License Agreement Technical Specifications

The following agreement (“Agreement”) governs all material owned by The Grove Consultants International (“The Grove”) downloaded from its website (“Content”) by you. Please read this agreement carefully. By downloading the Content, you are agreeing to be bound by these terms:

  1. Limited License

    Upon your payment of the applicable fees, The Grove hereby grants you a nontransferable, nonexclusive license to view, use, and display the Content for certain purposes as permitted by The Grove. You may use the Content solely for your own use, including any consultancy services that you provide to third parties, but you shall not provide the Content or any derivative thereof to any third party.

  2. Restrictions on Use

    This Agreement is not a sale of the Content. The Grove retains title and ownership in the Content and all rights therein. You may not sell, rent, lease, distribute, broadcast, sublicense or otherwise assign any rights to the Content or any portion of it to any third party. You may not remove any proprietary notice or label on the Content. In addition, you may not, and you will not encourage, assist or authorize any other person to bypass, modify, defeat, or circumvent security features that protect the Content. You may not modify or create derivative works in whole or in part with the Content. If you desire to sublicense or otherwise commercially exploit the Content, you must obtain a special written license from The Grove for that purpose.

  3. Representations and Warranties

    THE GROVE MAKES NO WARRANTIES OR REPRESENTATIONS TO YOU OF ANY KIND, EXPRESSED OR IMPLIED, WITH RESPECT TO THE CONTENT. THE GROVE EXPRESSLY DISCLAIMS ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS OF THE CONTENT FOR A PARTICULAR PURPOSE.

  4. Limitation of Liability

    The Grove’s obligation to replace any defective Content shall be your sole and exclusive remedy for any and all claims. Under no circumstances shall The Grove be liable for indirect, consequential, special, or exemplary damages. In any event, any liability of The Grove out of or in connection with your use of the Content shall not exceed the amount, if any, paid by you to The Grove for the Content.

  5. Jurisdiction and Venue

    You hereby consent to jurisdiction and venue in any state or federal court in San Francisco, California for any dispute arising out of or connected to your use of the Content.

The Grove Consultants International offers downloadable products in either Microsoft® PowerPoint® or Adobe Acrobat format. To access a PowerPoint document, you must have PowerPoint installed on the computer to which you downloaded the document. Documents in PDF format (Portable Document Format) may be accessed using the free Adobe acrobat software.

If you are downloading a product, you will be prompted to either open it with the appropriate application, or save it to your hard drive. If you choose to save the product, be sure to note the file name and where on your computer it is downloaded.

Copyright Policy

The Grove’s models and templates are the intellectual property of The Grove Consultants International and are based on best practices drawn from more than thirty years of fieldwork. The Grove is committed to sharing its ideas, processes, and tools in order to foster collaboration, and while we strive to make these easily accessible, only authorized licensees may use our proprietary information and materials. Such licensees must acknowledge The Grove as their source by displaying a Grove copyright notice and may reproduce such proprietary information only with our express written permission.

Any unauthorized reproduction or use of our copyrighted material without The Grove’s express written permission is a violation of U.S. copyright law.
